These Terms of Service (the “Terms”) form a legally binding agreement between you (“you,” “your,” or “Client”) and Luna Spanish Learning Inc. (“Luna Spanish Learning Inc.,” “we,” “us,” or “our”). These Terms govern your access to and use of our Spanish-language education services, including private one-on-one Spanish lessons, small group conversational classes, Spanish for beginners and adult learners, business Spanish training, kids and teen Spanish programs, online Spanish tutoring, and Spanish pronunciation and grammar workshops (collectively, the “Services”).

By booking, purchasing, accessing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Introduction and Acceptance of Terms

These Terms apply to all Clients, students, parents or legal guardians acting on behalf of minors, website visitors, and any other person who accesses or uses the Services. If you are using the Services on behalf of a child or another person, you represent that you have the legal authority to do so and to bind that person to these Terms where applicable.

We may offer Services in person and online. Additional service-specific policies, class schedules, placement requirements, enrollment forms, waivers, house rules, or program descriptions may apply and are incorporated into these Terms by reference where communicated to you.

2. Scope of Services

Luna Spanish Learning Inc. provides Spanish-language instruction and related educational services, which may include:

Unless expressly stated otherwise, we do not guarantee any particular academic, professional, fluency, employment, immigration, certification, or business outcome. Results depend on many factors outside our control, including attendance, practice, prior experience, and individual aptitude.

We may modify lesson formats, instructors, class sizes, schedules, platforms, and materials from time to time to improve the Services or due to operational needs, provided such changes do not materially diminish the core nature of the Services purchased.

3. User Obligations and Responsibilities

You agree to:

You are responsible for any activity conducted through your account, booking, or communications associated with your contact information. If you believe your account or access details have been compromised, notify us promptly.

We reserve the right to refuse service, remove participants from a class, suspend or terminate access, or take other reasonable action if a participant violates these Terms, disrupts the learning environment, or presents a safety, legal, or operational concern.

4. Payment Terms and Conditions

Fees, package pricing, subscription arrangements, trial lesson charges, taxes, and any applicable administrative or registration fees will be disclosed at the time of purchase or enrollment. All fees are stated in Canadian dollars unless otherwise indicated.

If a payment is reversed, charged back, or declined, you remain responsible for the full amount due and any reasonable costs incurred in collection to the extent permitted by applicable law.

We may adjust pricing for future Services at any time. Any price changes will not affect Services already purchased and paid for unless you consent or the applicable policy expressly states otherwise.

5. Cancellation and Refund Policy

Our cancellation and refund practices are intended to be fair and transparent while accounting for instructor scheduling and resource allocation. Unless otherwise stated in a separate written policy or promotion, the following terms apply:

Refunds, where approved, will be processed to the original payment method where possible and within a reasonable time. Administrative fees, consumed services, materials provided, and third-party processing charges may be non-refundable to the extent permitted by law.

Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable Canadian law, including rights relating to services that are materially not as described, not provided with reasonable care and skill, or otherwise contrary to law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Luna Spanish Learning Inc., its directors, officers, employees, instructors, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of opportunity, loss of data, or loss of goodwill, arising out of or related to the Services or these Terms.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to Luna Spanish Learning Inc. for the specific Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability, or the minimum amount required by applicable law, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited. Nothing in these Terms is intended to limit rights or remedies that cannot be limited under the Consumer Protection Act, 2002 (Ontario), the Sale of Goods Act, R.S.O. 1990, c. S.1, or other applicable legislation, as may apply.

You acknowledge that language learning involves subjective progress and that we do not warrant uninterrupted, error-free, or always available Services. While we use reasonable efforts to deliver high-quality instruction, we are not responsible for outcomes affected by your attendance, participation, technical issues outside our control, or your failure to follow guidance provided by instructors.

7. Intellectual Property Rights

All content, lesson plans, worksheets, exercises, presentations, audio, video, text, graphics, logos, methods, designs, and other materials provided by or on behalf of Luna Spanish Learning Inc. are protected by intellectual property laws and remain our property or the property of our licensors, unless otherwise stated in writing.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials solely for your own educational purposes or, in the case of minors, for the enrolled student’s educational purposes.

You may not, without our prior written consent:

Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation, unless prohibited by law.

8. Data Protection and Privacy

We collect, use, disclose, and store personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation where relevant.

By using the Services, you consent to the collection, use, and disclosure of personal information as described in our privacy practices and as reasonably necessary to provide, administer, improve, and secure the Services. This may include your name, contact details, payment information, scheduling details, learning progress, communications, and technical information from online service use.

We may use third-party service providers for scheduling, payment processing, communications, video conferencing, analytics, file storage, or similar support services. These providers may process personal information on our behalf in accordance with contractual and legal safeguards.

If you provide personal information about a minor, you represent that you are authorized to do so and consent to our handling of that information for educational and administrative purposes.

For questions about privacy or requests to access or correct personal information, contact us using the details in Section 12. We will respond in accordance with applicable law and our internal procedures. For more detail, we may provide a separate privacy policy or notice from time to time.

9. Force Majeure

We will not be liable or responsible for any failure or delay in performing our obligations under these Terms to the extent such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic or pandemic, public health emergency, war, terrorism, civil unrest, labor disputes, power outages, internet or telecommunications failures, government action, or failure of third-party service providers.

Where a force majeure event occurs, we may suspend, reschedule, or modify the affected Services for the duration of the event. We will use commercially reasonable efforts to resume Services as soon as practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect operational, legal, regulatory, or business changes. The revised Terms will be posted or otherwise communicated to you with the updated effective date.

Unless otherwise required by law, changes will apply prospectively from the effective date of the revised Terms. Your continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the Services, or your use of the Services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal proceeding arising from or related to these Terms or the Services shall be brought exclusively in the courts located in Toronto, Ontario, subject to any mandatory rights you may have under applicable consumer protection law or other applicable legislation.

12. Contact Information

If you have any questions, complaints, requests, or notices regarding these Terms or the Services, please contact:

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction, that provision shall be interpreted, to the extent possible, to give effect to the parties’ original intent. The remaining provisions will remain in full force and effect.

If any unenforceable provision can be modified to make it enforceable while preserving its purpose, the provision will be deemed amended accordingly to the minimum extent necessary under applicable law.

These Terms constitute the entire agreement between you and Luna Spanish Learning Inc. regarding the Services and supersede prior or contemporaneous understandings on the subject matter, except where a separate written agreement expressly states otherwise.
